Welcome to Sip History ("Company," "we," "us," or "our"). These Terms of Service ("Terms") constitute a legally binding agreement between you and Sip History governing your access to and use of our website at siphistory.co and all related services, including our prohibition-era cocktail history experiences in Charleston, Nashville, and New Orleans.

By accessing our website, making a booking, or participating in any of our experiences, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use our services.

1. Eligibility and Age Verification

1.1 Minimum Age Requirement

Our experiences involve the service and consumption of alcoholic beverages. You must be at least twenty-one (21) years of age to book, attend, or participate in any Sip History experience. This requirement applies regardless of whether you intend to consume alcohol.

1.2 Identification Requirements

All participants must present valid, government-issued photo identification upon arrival at any Sip History experience. Acceptable forms of identification include a valid driver's license, state-issued ID card, U.S. passport, or U.S. military ID. We reserve the right to refuse entry to anyone who cannot provide valid identification proving they are at least 21 years of age. No refunds will be provided for failure to meet identification requirements.

1.3 Representation and Warranty

By booking or attending an experience, you represent and warrant that you are at least 21 years old, that all information you provide is accurate and complete, and that you have the legal capacity to enter into these Terms.

2. Assumption of Risk and Liability Waiver

2.1 Voluntary Participation and Inherent Risks

By booking and attending a Sip History experience, you acknowledge and agree that participation is entirely voluntary and involves inherent risks associated with the consumption of alcoholic beverages. These risks include, but are not limited to: impaired judgment and coordination, adverse reactions including allergic reactions to ingredients, potential interactions with medications or medical conditions, dehydration, and other effects of alcohol consumption.

2.2 Express Assumption of Risk

You expressly assume full responsibility for any and all risks of injury, illness, damage, or loss that may arise from your participation in our experiences, including but not limited to risks arising from: the consumption of alcoholic beverages, food allergies or sensitivities, interactions with other participants, venue conditions, and transportation to and from our experiences.

To the fullest extent permitted by applicable law, you hereby release, waive, discharge, and covenant not to sue Sip History, its owners, officers, directors, employees, agents, representatives, successors, and assigns (collectively, "Released Parties") from any and all liability, claims, demands, actions, or causes of action arising out of or related to any loss, damage, injury, or death that may be sustained by you or any property belonging to you, arising from your participation in our experiences, whether caused by the negligence of the Released Parties or otherwise.

2.5 Limitation on Waiver

This waiver does not apply to claims arising from gross negligence or intentional misconduct by Sip History. Nothing in these Terms shall limit or exclude liability that cannot be limited or excluded under applicable law.

3. Booking, Payment, and Reservations

3.1 Booking Process

Bookings are made through our website via our third-party booking platform, Bókun. When you make a booking, you agree to provide accurate and complete information, authorize us and our payment processor to charge the payment method provided, and acknowledge that your booking is subject to availability and these Terms.

3.2 Payment Terms

Full payment is required at the time of booking unless otherwise specified for group or corporate events. All prices are listed in U.S. dollars. Prices are subject to change without notice, but changes will not affect confirmed bookings. Sales tax will be added where applicable.

3.3 Cancellation Policy

Cancellation requests must be submitted by email to info@siphistory.co. Refunds will be processed to the original payment method within 7-10 business days.

3.4 Rescheduling

You may reschedule your booking up to 48 hours before your scheduled experience at no additional charge, subject to availability. Rescheduling requests made within 48 hours of the experience may be accommodated at our discretion and may be subject to a rescheduling fee of up to 25% of the booking value.

3.5 Company Cancellations and Force Majeure

Sip History reserves the right to cancel or reschedule any experience due to insufficient enrollment, venue unavailability, instructor illness, inclement weather, or circumstances beyond our reasonable control (force majeure events), including but not limited to: natural disasters, pandemics or public health emergencies, government orders or restrictions, civil unrest, and venue emergencies.

In the event of a Company cancellation, you will be offered the choice of: rescheduling to another available date within 12 months, a credit valid for 18 months from the original booking date, or a full refund. Sip History shall not be liable for any incidental expenses, travel costs, or other damages arising from cancellation.

4.3 Responsible Consumption

While our experiences celebrate the craft of cocktail making, we are committed to responsible alcohol service. We reserve the right to limit or discontinue alcohol service to any participant at any time. We strongly encourage all participants to arrange safe transportation in advance, such as rideshare services, designated drivers, or public transportation.

5. Intellectual Property

5.1 Company Intellectual Property

All content on our website and presented during our experiences, including but not limited to text, graphics, logos, images, photographs, videos, audio, recipes, cocktail formulations, educational materials, historical narratives, and software, is the exclusive property of Sip History or its licensors and is protected by copyright, trademark, trade secret, and other intellectual property laws.

5.2 Prohibition on Recording and Reproduction

Participants may not record, photograph, or otherwise capture video or audio of class demonstrations, recipes, or proprietary techniques without express written consent from Sip History. Personal photographs for non-commercial use are permitted unless otherwise instructed. Unauthorized recording or reproduction of our intellectual property may result in immediate removal without refund and potential legal action.

5.3 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our website for personal, non-commercial purposes. You may not copy, modify, distribute, sell, or lease any part of our website or content, use data mining, robots, or similar data gathering methods, or reverse engineer or attempt to extract source code from our website.

6. Photography and Media Release

During our experiences, Sip History and its representatives may take photographs, videos, or other recordings for marketing, promotional, and educational purposes. By participating in our experiences, you grant Sip History a perpetual, worldwide, royalty-free, non-exclusive license to use, reproduce, modify, publish, and distribute any photographs, videos, or recordings in which you appear, in any media now known or hereafter developed, for promotional and marketing purposes.

If you do not wish to be photographed or recorded, you must notify our staff in writing before the experience begins. While we will make reasonable efforts to accommodate such requests, we cannot guarantee complete exclusion from incidental capture in group settings.

7. User-Generated Content

If you submit photographs, videos, reviews, comments, or other content to Sip History (including via social media with relevant hashtags or tags), you grant us a worldwide, non-exclusive, royalty-free, perpetual license to use, reproduce, modify, adapt, publish, translate, and distribute such content in any media. You represent that you own or have the necessary rights to grant this license and that the content does not violate the rights of any third party.

8. Gift Cards and Vouchers

8.1 Gift Card Terms

Sip History gift cards do not expire and carry no service, dormancy, or inactivity fees. Gift cards are redeemable only for Sip History experiences and cannot be redeemed for cash except where required by law. Gift cards are non-refundable and non-transferable for value.

8.2 Lost or Stolen Gift Cards

Gift cards are treated as cash. Sip History is not responsible for lost, stolen, or damaged gift cards and will not replace them except at our sole discretion.

9. Third-Party Services

Our website and booking process utilize third-party services, including Bókun (booking platform) and payment processors. Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the content, privacy practices, or availability of third-party services. Links to third-party websites are provided for convenience only and do not constitute endorsement.

10. Disclaimers

OUR WEBSITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, SIP HISTORY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that our website will be uninterrupted, error-free, or free of viruses or other harmful components. We make no representations about the accuracy, reliability, or completeness of any content on our website.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE EXCLUSIONS OR LIMITATIONS MAY NOT APPLY, AND YOU MAY HAVE ADDITIONAL RIGHTS.

You agree to defend, indemnify, and hold harmless Sip History and its officers, directors, employees, agents, licensors, and suppliers from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

13. Dispute Resolution and Arbitration

13.1 Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first contact us at info@siphistory.co to attempt to resolve the dispute informally. We will attempt to resolve the dispute through good-faith negotiations within 30 days.

13.2 Binding Arbitration

If informal resolution is unsuccessful, any dispute, controversy, or claim arising out of or relating to these Terms or your use of our services shall be resolved exclusively by binding individual arbitration administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules. The arbitration shall be conducted in Nashville, Tennessee, unless otherwise agreed by the parties.

13.3 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You expressly waive any right to participate as a plaintiff or class member in any class action lawsuit, class-wide arbitration, or any other representative proceeding.

13.4 Opt-Out Right

You may opt out of the arbitration agreement and class action waiver by sending written notice to info@siphistory.co within 30 days of your first booking with Sip History. Your notice must include your name, mailing address, email address, and a clear statement that you wish to opt out of arbitration.

13.5 Small Claims Exception

Notwithstanding the foregoing, either party may bring an individual action in small claims court for disputes within the court's jurisdictional limits.

14. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of law provisions. For any matters not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Davidson County, Tennessee.

15. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. For material changes that significantly affect your rights, we may also provide notice via email to the address associated with your booking.

Your continued use of our website or services after the effective date of any modifications constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must discontinue use of our services.

16. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of any other provision.

17. Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Sip History regarding your use of our website and services, and supersede all prior and contemporaneous agreements, representations, and understandings.

18. Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Sip History to be effective.

19. Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. Sip History may assign these Terms without restriction.
